4.1 The Initial Term of this Agreement shall be twelve (12) months. This Agreement shall automatically renew for successive twelve (12) month terms unless Client provides written notice of non-renewal at least ninety (90) days prior to expiration.
6.2 Fees are due net 15. Provider may increase fees at any time upon thirty (30) days notice, and continued use of the Services constitutes acceptance of such increases.
9.3 Client shall indemnify and hold harmless Provider against any and all claims arising from or related to this Agreement, regardless of cause or fault.
11.4 Provider may terminate this Agreement for convenience upon fifteen (15) days notice. Client may terminate only for uncured material breach. All prepaid fees are non-refundable.
